The websites, content, materials, tools, communications, and related online services made available by Jeffrey Michael Capital, LLC, including Praxis and related digital properties, are provided for general informational purposes only unless and until a separate written agreement expressly applies. These Disclaimers are intended as a summary-level notice of important service boundaries and risk allocations and should be read together with our Terms of Use, Privacy Policy, Praxis Terms of Service, Data Processing Addendum where applicable, and any separate written agreement governing a specific relationship or service.
Nothing on the Sites or through Praxis creates or should be interpreted as creating any consulting, fiduciary, legal, tax, accounting, audit, valuation, investment-advisory, broker-dealer, placement-agent, employment, agency, partnership, joint venture, or other professional relationship unless expressly established in a separate written agreement signed or otherwise validly executed by the relevant parties.
No service relationship, advisory engagement, fiduciary duty, or other professional obligation is formed solely by:
(a) visiting the Sites,
(b) submitting a contact form or inquiry,
(c) requesting or participating in a consultation, demo, intake process, or preliminary discussion,
(d) exchanging communications with us, or
(e) using public-facing website or platform functionality.
All services, engagements, subscriptions, implementation work, consulting relationships, and platform access beyond public-facing website use are governed only by separate written agreements where applicable.
We do not guarantee any specific business outcome, operational result, funding result, transaction result, marketing result, search ranking, AI outcome, platform output, or other performance result.
1. Praxis Disclaimer
Praxis and any related AI-enabled tools, models, workflows, analyses, outputs, summaries, recommendations, or generated materials are provided solely as business-support and decision-support tools.
Praxis outputs may be incomplete, inaccurate, assumption-dependent, out of date, or influenced by the quality, completeness, timeliness, and accuracy of submitted inputs and underlying information.
You remain solely responsible for (a) reviewing outputs, (b) validating assumptions, (c) exercising independent judgment, (d) determining whether additional review by qualified professionals is required, and (e) deciding whether and how to rely on any output, recommendation, summary, workflow, or model result.
Praxis does not provide legal, tax, accounting, investment, medical, employment-law, HR-compliance, or other regulated professional advice.
You are solely responsible for ensuring that any materials, records, data, documents, prompts, or content submitted through Praxis may lawfully be disclosed and processed. Unless expressly authorized in writing and subject to appropriate safeguards, restricted categories of data must not be submitted.
Submission of materials through Praxis does not mean that the materials are appropriate for submission, approved for unrestricted processing, or exempt from separate contractual, security, confidentiality, or compliance requirements. Jeffrey Michael Capital, LLC may require secure re-submission, additional review, or separate written approval before certain data, use cases, or service configurations are accepted.
2. Fractional Leadership Disclaimer
Any reference on the Sites to fractional leadership, executive support, integrator services, managed support, operational guidance, or similar services is informational only unless and until governed by a separate written agreement.
Unless expressly agreed in writing, Jeffrey Michael Capital, LLC does not become your employer, co-employer, joint employer, payroll provider, fiduciary, corporate officer, legal representative, or agent.
You remain solely responsible for (a) hiring and termination decisions, (b) payroll, tax, and benefits administration, (c) labor and employment compliance, (d) corporate governance and internal approvals, and (e) decisions made within your business, even where advisory input or support is provided.
Nothing on the Sites should be interpreted as CPA, legal, HR-compliance, or employment-law advice.
Nothing on the Sites should be interpreted as creating delegated management authority, voting authority, signature authority, employer status, or legal responsibility for day-to-day business decisions unless expressly established in a separate written agreement.
3. Capital Readiness and Transaction Advisory Disclaimer
Any content on the Sites relating to capital readiness, transaction advisory, diligence, value creation, growth funding strategy, acquisition evaluation, exit readiness, succession positioning, or similar topics is provided solely for general informational purposes.
Nothing on the Sites constitutes or should be interpreted as (a) an offer to sell or solicitation of an offer to buy securities, (b) broker-dealer services, (c) placement-agent services, (d) investment banking services, (e) investment-advisory services, or (f) a guarantee of funding, valuation, returns, transaction completion, or business outcome.
Unless expressly agreed in writing and permitted by applicable law, Jeffrey Michael Capital, LLC is not acting through the Sites as a broker-dealer, placement agent, investment bank, or registered investment adviser.
Nothing on the Sites commits Jeffrey Michael Capital, LLC to participate in, structure, support, introduce, broker, place, diligence, or remain involved in any financing, transaction, acquisition, succession process, capital raise, or related engagement unless expressly set forth in a separate written agreement and permitted by applicable law.
Do not submit confidential deal materials, regulated information, or highly sensitive transaction documents through public forms, general website intake channels, or unsecured communications unless we have specifically instructed you to do so through an approved secure process and, where appropriate, under a signed agreement.
4. U.S.-Only Scope
The Sites, Praxis, and related services are intended only for individuals and businesses physically located in the United States and for U.S.-based business activity. We do not market, contract for, or knowingly provide our standard services outside the United States.
If an entity is headquartered outside the United States but seeks services solely in connection with its U.S.-based operations, personnel, or business activity, Jeffrey Michael Capital, LLC may require separate written approval and additional contractual terms before permitting access, use, or engagement beyond the standard U.S.-only framework.
5. Additional Terms Apply
Use of the Sites and Praxis is also subject to our Terms of Use and Privacy Policy. Where applicable, additional Praxis Terms of Service, subscription terms, data processing agreements, statements of work, order forms, nondisclosure agreements, intake notices, page-specific disclaimers, or other written agreements may also apply and will control or supplement this Disclaimers page to the extent relevant to the applicable relationship, service, data submission, or use case.
